The deal: - Enterprise value: $1.285 billion - Equity value: ~$2.25 billion, but only because Airtable is sitting on ~$965M of net cash - Read that again: nearly half the purchase price is Airtable's own unspent money being handed back to shareholders - Peak valuation: $11.7B, December 2021 Series F. The business just cleared at roughly 89% below that - ARR: ~$480M, growing 20%. That's ~2.7x revenue. SpaceX paid 15x for Cursor six weeks ago The waterfall, per a widely shared model built on public terms (directional, assumes vanilla 1x prefs): - Everyone from Series C onward took par. Coatue, Thrive, Greenoaks, XN wrote checks at $1.1B, $2.6B, $5.8B, and $11.7B posts and got 1.0x of money back - CRV: ~21x on the 2015 Series A, ~6x on the B - Caffeinated Capital: ~37x on the A1 - Freestyle and Felix Shpilman at the 2013 seed: ~55x - ~$960M left for converting holders. Call it $50M each after 13 years - Same lesson as always: the last four rounds funded the exit for the first three Now the buried lede, from the SEC filing: - Before signing, Airtable ran a reorganization that transferred the entire "Hyperagent" business line out of the company into a separate entity, Hyperagent Inc - Hyperagent is the AI agent orchestration platform Airtable unveiled in early 2026, spin up teams of autonomous agents across your business tools - Bending Spoons is buying the database, the workflows, the 500K orgs, the 80% of the Fortune 100, and the $480M of recurring revenue - The seller is keeping the agents On Hyperagent's performance: there are no disclosed numbers. It launched roughly six months ago. No ARR, no customer counts, nothing public. What we know is that it was worth carving out of a billion-dollar deal, which is its own kind of disclosure. On whether the founders stay: nobody has said explicitly. Howie Liu's statement talks about "building the AI-native platform of the future," which reads either way on purpose. But follow the structure, not the quotes. The founders' holding company now owns Hyperagent outright, free of the legacy business. One newsletter's blunt read: Liu keeps the AI project without having to be the one who does the layoffs. The Italians do that part. And they will. Bending Spoons' playbook is public record: buy at a discount, cut deep, raise prices on customers too embedded to leave, run it for cash. Evernote, WeTransfer, Vimeo, AOL in January, Eventbrite in March. Airtable is the first deal since its July Nasdaq listing at $18.4B, and the first paid for with public-market currency. The frame: a decacorn built over 13 years just sold its core for less than the cash on its own balance sheet plus a modest premium, while the founders walked out the back door with the AI upside in a clean-room entity. The 2021 vintage investors got their money back and nothing else. The seed got 55x. And the most honest sentence in the whole transaction is a highlighted paragraph in a 6-K that nobody reads. Every exit this cycle tells you where the value is. This one says: the workflows are worth 2.7x revenue. The agents are worth keeping.

  I mean, the mismanagement didn't help. Plenty of customers stayed with AOL for ages because it was easier than switching to a better, faster, cheaper internet experience. HughesNet took their customers for granted and the satisfaction scores reflected it.

  @Noahpinion It is also pretty easy to imagine a world where a global, distributed network of open protocols that is mostly permissionsless did not happen in this way, and in which we only would have gotten a better AOL.

  Then on 1 December 1996, AOL went flat rate. $19.95. Unlimited. Average usage went from 7 hours a month to 23. The network collapsed. Customers sued. States opened investigations. The CEO had to publicly ask 8 million people to please use the internet less.

  My Japanese client has asked for my age for the 5th time in a row. What's the issue? I'm I too young for the legal profession? Does being old mean experience? I believe not. I know of 50 year old lawyers who dont a thing or 2 despite being in practice for ages. An aol kodu yawa
